Terms of Service

These Terms of Service ("Terms") govern your access to and use of InvoiceURL (the "Service"), operated by "we", "us", or "our". The full legal details of the operator are set out in section 14 (Contact Information). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

InvoiceURL lets you share a document (such as an invoice, quote, or work order) as a secure link so that a recipient can review and approve or reject it without creating an account. The Service records the resulting decision together with a timestamped activity log. We may add, change, or remove features over time.

2. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of your account information and for keeping your credentials secure. You are responsible for all activity that occurs under your account.

3. Acceptable use

Your use of the Service must comply with our Acceptable Use Policy, which is incorporated into these Terms by reference. You are solely responsible for the documents and content you upload and for ensuring you have the right to share them.

4. Credits, plans, and billing

The Service is sold on a credit basis. One credit is consumed each time you generate an approval link to send a document (one link per recipient). Plans and top-up packs are described on our Pricing page.

Payments are processed by Lemon Squeezy, which acts as our Merchant of Record and issues a compliant invoice or receipt for every charge. Your purchase is also subject to Lemon Squeezy's terms. Cancellations and refunds are governed by our Refund & Cancellation Policy.

5. Your content

You retain all ownership of the documents and content you upload ("Your Content"). You grant us a limited licence to host, process, transmit, and display Your Content solely to operate and provide the Service to you. We do not claim ownership of Your Content and do not use it for any purpose other than providing the Service.

6. Intellectual property

The Service, including its software, design, and trademarks, is owned by us and our licensors and is protected by law. These Terms grant you no right to our intellectual property except the limited right to use the Service as permitted here.

7. Third-party services

The Service relies on third-party providers (for example, payment, email, and storage providers) listed in our Privacy Policy. We are not responsible for the acts or omissions of third parties or for content they control.

8. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure. The Service is a workflow and record-keeping tool; it is not a qualified electronic-signature, legal, accounting, or tax service, and an approval recorded through it does not by itself constitute legal advice or a guaranteed legally binding signature.

9. Limitation of liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our total liability for any claim arising out of or relating to the Service will not exceed the greater of the amount you paid us in the twelve months before the claim, or USD 100.

10. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, liabilities, and expenses arising out of Your Content, your use of the Service, or your violation of these Terms or applicable law.

11. Suspension and termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or other users. On termination, your right to use the Service ends; certain provisions (such as ownership, disclaimers, and limitation of liability) survive.

12. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

13. Governing law

These Terms are governed by the laws of India, without regard to its conflict-of-laws rules. The courts of Kolkata, West Bengal, India will have exclusive jurisdiction, except where prohibited by applicable law.
